Ambassador Agreement

1. Subject of the Agreement

This agreement governs the collaboration between Menu5Star (hereinafter "Company") and the Ambassador (hereinafter "Collaborator"), within the Menu5Star service promotion program.

2. Ambassador Role

The Ambassador commits to promoting the Menu5Star service to restaurants and food service businesses in their area of operation, through:

• Direct visits to potential clients (restaurants, bars, pizzerias, etc.).
• Presentation of the service and its features.
• Sharing their personalized referral link and ambassador code.
• Promotion through their social media channels (Instagram, TikTok, Facebook, etc.).
• Photographic documentation of visits (check-ins).

3. Commissions

The Ambassador is entitled to the following recurring monthly commissions for each active restaurant acquired through their referral code:

• Pro Plan (€20/month): €5.00/month commission per active restaurant.
• Business Plan (€40/month): €10.00/month commission per active restaurant.
• Starter Plan (free): no commission.

Commissions are recurring: they accrue each month as long as the restaurant maintains its active subscription. Commissions are calculated at the end of each month and paid upon reaching the minimum threshold of €50.00.

4. Level System

The Ambassador progresses through the following levels based on the number of active restaurants:

• Rookie: 0-4 active restaurants
• Explorer: 5-14 active restaurants
• Champion: 15-29 active restaurants
• Legend: 30-49 active restaurants
• Icon: 50+ active restaurants

5. Ambassador Obligations

• Promote the service in a professional, honest, and transparent manner.
• Not make unauthorized promises or guarantees regarding the service.
• Not use spam, deceptive, or unethical promotional methods.
• Document visits through the check-in system with photos.
• Maintain professional and respectful behavior during visits.
• Not represent themselves as a Company employee.

6. Minimum Activity Requirements

The Ambassador must activate at least 10 paying restaurants within the first 3 months from the approval date. If this minimum target is not met, the Company reserves the right to revoke the Ambassador status. The Ambassador will be notified by email 15 days before the deadline.

7. Nature of the Relationship

This agreement establishes an independent collaboration relationship. The Ambassador is NOT an employee of the Company. There is no subordination, schedule obligation, or exclusivity requirement. The Ambassador operates with full organizational autonomy and their own resources. Any tax and social security obligations arising from compensation received are the Ambassador's responsibility.

8. Intellectual Property

The Ambassador is authorized to use the Menu5Star brand, logo, and promotional materials exclusively for the promotional activities provided by this agreement. Any other use is prohibited. Materials provided remain the property of the Company.

9. Confidentiality

The Ambassador commits to keeping confidential all commercial, technical, and organizational information learned during the collaboration. This obligation persists even after the termination of the relationship.

10. Duration and Termination

The agreement has an indefinite duration. Either party may terminate at any time with 15 days' notice via email. Commissions accrued up to the termination date will be regularly paid. The Company may immediately terminate the agreement in case of violation of the obligations in Art. 5 or behavior damaging to the brand reputation.

11. Personal Data Processing

The Ambassador's personal data will be processed in accordance with the Privacy Policy available on Menu5Star. The Ambassador authorizes the processing of their data for the purposes of the Ambassador program.

12. Jurisdiction

This agreement is governed by Italian law. For any dispute, the Court of Bari shall have jurisdiction.
